The Acenda Group comprises Nippon Life Australia and New Zealand NOHC Pty Ltd ABN 48 633 375 069 (NOHC) and each of its subsidiaries. NOHC Privacy Statement

NOHC manages personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). References to 'our', 'we', or 'us' below are a reference to NOHC.

We may collect, hold, use and disclose the following categories of personal information:  identification documents and related background-check material provided in connection with the appointment or assessment of directors; (ii) information contained in whistleblower reports made under our Whistleblower Policy, where necessary and permitted by law; and (iii) information reported to us by our operating subsidiaries in the course of group oversight and regulatory compliance, including where this information is needed in order to undertake our governance responsibilities.  We collect this information directly from the individual concerned, from our subsidiaries, or from third-party service providers and regulators, and may collect, hold, use or disclose this information for the purposes of meeting our statutory and prudential obligations, to determine fitness and propriety of officers, to administer and investigate whistleblower disclosures, to discharge our governance responsibilities, and for other everyday business purposes that involve use of personal information.

We may disclose relevant personal information to Australian regulators (including APRA and ASIC), professional advisers, external investigators, our subsidiaries, and contracted service providers who support these functions. We may also disclose personal information to others outside of Australia for the purposes described above, including in New Zealand, Japan, United States of America, Bermuda and Taiwan.  When we disclose your personal information in this way, we take steps to ensure it is treated in the same way that we would treat it, and that an adequate level of protection is in place. We otherwise do not disclose personal information overseas unless required or authorised by law or with your consent. Personal information is stored securely and is destroyed or de-identified when no longer required.

Acenda, Resolution Life Australasia and Asteron New Zealand maintain individual privacy policies. You are entitled to request access to, or correction of, the personal information we hold about you, and to make a complaint if you believe we have breached the APPs. You are also entitled to lodge a complaint with the Office of the Australian Information Commissioner.

Asteron Life is a well-established and highly respected life insurer in New Zealand, recently acquired by Resolution Life Australasia. Asteron Life provides a range of life, trauma, income protection, total and permanent disability, and business cover to the New Zealand market. Mr Craig Dunn
Independent Non-Executive Director and Chair

Craig is a highly regarded business leader with more than 30 years of experience in financial services, serving as Chief Executive Officer of AMP Limited from 2008-2013. He is also currently the Chair of Telstra Group Limited, Redkite and CMi Merryck, and is a Non-Executive Director of Lion.

Craig was previously a member of the Financial Services Advisory Committee, the Australian Financial Centre Forum, the Consumer and Financial Literacy Taskforce and a Panel member of the Australian Government’s Financial System Inquiry. He is also a former Chair of the Investment and Financial Services Association (now the Financial Services Council), the Australian Government’s Fintech Advisory Group and Australia’s leading fintech innovation hub, Stone & Chalk.

Catherine Dubé

Independent Non-Executive Director

Catherine is an Actuary with over 30 years' experience in financial services. She is an Independent Non-Executive Director for Nippon Life Australia and New Zealand NOHC Pty Ltd, Nippon Life Insurance Australia and New Zealand Limited, and Resolution Life Australasia Limited. She also serves as Chair of the Audit Committee. Catherine’s other positions include Non-Executive Director for Guild Group Holdings and Guild Insurance, where she chairs both the Group Audit and Risk Committees. She also serves as a Non-Executive Director and Audit Chair for Assetinsure, and is a member of the ACT Public Trustee and Guardian Investment Board.

Previously, she served as Audit Committee Chair on the Board of Challenger Retirement and Investment Services. Prior to her non-executive roles, Catherine was Chief Risk Officer at AIG for the Australasian region.

David Stephen

Independent Non-Executive Director

As a Banking and Financial Services leader with over 35 years of experience, David has a strong record in driving risk management and compliance for some of the largest financial services organisations in the world. He has expertise in strategy, leadership, governance, culture, mergers and acquisitions (M&A), transformation, remediation, and navigating the complexity of regulated industries.

David is an Independent Non-Executive director for Nippon Life Australia and New Zealand NOHC Pty Ltd, Nippon Life Insurance Australia and New Zealand Limited and Resolution Life Australasia Limited. He also serves as Chair of the Risk Committee. Prior to this role, David served on Boards of the International Financial Risk Institute and Financial Services Institute of Australasia (FINSIA), and he was previously the Group Chief Risk Officer and a Member of the Executive teams for Westpac, ANZ Bank and Royal Bank of Scotland.

Melissa Babbage

Independent Non-Executive Director

Melissa has more than 30 years of experience in Financial Services with global expertise in investment strategy, governance, and risk management. She is an Independent Non-Executive Director for Nippon Life Australia and New Zealand NOHC Pty Ltd, Nippon Life Insurance Australia and New Zealand Limited, Resolution Life Australasia Limited, and Swiss Re Asia. She also serves as a member of the Investment Committees for Ord Minnett Private Opportunities Fund and the 1941 Fund.

Melissa has previously held Non-Executive Director roles with Q Super, Swiss Re Australia, Swiss Re US, Mercer Investments, St Vincent’s Health & Aged Care, the IOOF Foundation and Athletics Australia, where she chaired Investment, Risk and Audit Committees. Earlier in her career, Melissa spent two decades in international and domestic financial markets, commencing in interest rate derivatives trading at Bankers Trust in 1992. She then moved to Commodities trading at Deutsche Bank in 1997. In 2000 she was appointed as Managing Director, and held senior roles including Head of Global Finance and Foreign Exchange A/NZ for Deutsche Bank Australia, Head of Commodities Asia-Pacific, and member of the Global Executive team. Melissa is a Graduate of the Australian Institute of Company Directors and a member of Chief Executive Women.

Rosheen Garnon

Independent Non-Executive Director

Rosheen is a Non-Executive Director with extensive experience across Financial Services, Infrastructure, Transport, and Government. She is an Independent Non-Executive Director for Nippon Life Australia and New Zealand NOHC Pty Ltd, Nippon Life Insurance Australia and New Zealand Limited and Resolution Life Australasia Limited, and serves as Chair of the People and Remuneration Committee. She also serves as a Board Member for Venues NSW, the Australia Council Board of Creative Australia, and The Smith Family, and as Trustee Director of Retirement Benefit Fund Pty Limited.

Rosheen has held roles including Chair of the Board of Taxation - an Independent Government Advisory Board which advises the Australian Treasurer on the Australian Taxation System - and Non-Executive Director of Australian Rail Track Corporation. Prior to this, Rosheen had a distinguished career in the accounting profession as a Senior Partner with KPMG, where she held senior executive management positions with the Australian firm and at a regional (ASPAC), and global level. Rosheen is a chartered accountant, and a taxation adviser with extensive experience with a range of regulated industries and Public Policy at senior Government levels.

Kazuhide Toda

Kazuhide is a senior financial services executive with over three decades of experience in investment management, corporate finance, and international operations. He is a Non-Executive Director for Nippon Life Australia and New Zealand NOHC Pty Ltd, Nippon Life Insurance Australia and New Zealand Limited and Resolution Life Australasia Limited. He serves on the Board Nomination, Board Risk, Board Audit, and Board Remuneration Committees. He is also Head of Oceania at Nippon Life Insurance Company in Japan, where he oversees the company’s regional business.

Since joining Nippon Life in 1986, Kazuhide has held a range of senior leadership roles including General Manager for the Credit and Alternative Investment Department, General Manager for the International Planning and Operations Department, General Manager for the First Corporate Finance Department, Head of Asia Pacific (Singapore), and Chief Investment Officer. He holds a Bachelor of Economics from Sophia University.

Koji Ichiba

Koji has over three decades of global leadership experience in the insurance industry. Joining as Executive Director for Acenda in 2024 from Nippon Life's Tokyo office, Koji is one of our most senior international executives.

Since joining Nippon Life in 1993, Koji has held senior roles across Asia, including Executive Vice President for Reliance Nippon Life Insurance in India and Chief Executive Officer for Nippon Life Asia Pacific. His most recent position was General Manager of Nippon's Global Insurance Business Department, where he was responsible for financial performance, governance, and risk management for Nippon Life’s international operations. Koji holds a Bachelor of Law from Doshisha University.

Claire Singleton

Non-Executive Director

Claire is a seasoned legal and executive leader with deep expertise in corporate governance, strategic partnerships, and financial services regulation. She joined Resolution Life Group in 2022 as Chief Counsel and Head of Strategic Partnerships, leading a team of experts providing group-wide legal advice around financing, mergers and acquisitions, and regulatory and compliance issues. She is also responsible for Sustainability, Strategic Partnerships and Investor Relations, as well as the company secretarial and compliance teams.

Prior to joining the Resolution Life Group, Claire held senior legal and CEO roles within the Legal & General Group, most notably as General Counsel for Retirement & Insurance and General Counsel for Group and Legal & General Capital. She also served as CEO of Legal & General Home Finance—a £5.6bn lifetime mortgage lender—and CEO of Legal & General’s Mature Savings business, which included its £21bn With Profits fund, and provided pensions, savings and investment products to over one million customers.

Claire holds a Master of Arts in Law from the University of Cambridge and began her career as a corporate M&A lawyer at US law firm Jones Day.

Rushabh is a senior financial services executive with extensive experience in strategy, M&A and reinsurance. He currently leads Resolution Life Group’s business activities in Asia with a focus on regional growth and strategic partnerships.

Prior to this, Rushabh worked as a consultant at McKinsey & Co across the financial services, healthcare and private equity practices. Passionate about the development opportunities available to young people, he holds or has held board positions with MyTutor.co.uk, the Department for Education’s Comprehensive School Improvement Plan (CSIP) initiative, and Debate Mate. Rushabh studied philosophy and economics at the London School of Economics, graduating with first class honours.

Chris de Bruin

Group Chief Executive Officer

Chris de Bruin has more than 25 years of global executive experience in Financial Services, including Business Banking, Retail Banking, Fintech, and Digital Banking. Before joining the Acenda Group, Chris served as Chief Executive of Consumer & Business Banking at Westpac. Prior to that, Chris was the CEO of Deem Finance, a major non-bank financial institution in the Middle East. He joined Deem from Zafin, a FinTech company providing customer-centric product and pricing solutions, where he was President. Chris spent 13 years at Standard Chartered Bank, which acquired 20twenty Financial Services, the internet banking platform he co-founded, where he held senior roles across Asia and the Middle East. Earlier in his career, Chris worked as an Associate Principal at McKinsey & Company in London.

Sean has over 20 years’ experience in financial services specialising in life insurance and transformational leadership. Sean’s executive roles include CEO at Integrity Life, Interim CEO at MLC Life Insurance. Sean spent over 12 years in leadership roles at MLC Life, including Chief of Life Insurance and Chief of Group and Retail partners, where he played a pivotal role in NAB’s divestment of MLC Life. Prior to his career in financial services Sean was a Commissioned Officer in the Australian Army.

Andrew has over 25 years’ experience across various roles in the insurance industry, both locally and internationally. He has a proven track record for driving transformation and empowering the adoption of best practices. Before joining Acenda, Andrew oversaw the re-imagining of QBE’s general insurance claims offering, delivering market-leading customer experiences.

Yvonne is a seasoned finance executive with over 25 years of experience across the financial services, property, and oil sectors in Australia and internationally.

She serves as the Chief Financial Officer (CFO) for the Acenda Group. Before joining the Acenda Group, Yvonne held several senior finance roles, including CFO at Resolution Life Australasia, BT Financial Group and Acting Deputy CFO & General Manager of Enterprise Investments at Westpac Banking Group.

Karen is a senior executive in Australia’s financial services industry, currently serving as the Chief Risk Officer (CRO) for the Acenda Group. In this role, she leads the Risk and Compliance team, overseeing risk management and compliance functions across the organisation.

With over 25 years of experience in the wealth sector, Karen has held senior executive positions at prominent institutions including ANZ Bank (as CRO for Wealth), Zurich Financial Services, and BT Financial Group.

Lisa has over 25 years’ experience as a corporate lawyer and senior executive in the financial services and insurance industry sectors. She has previously held senior positions including Chief Risk Officer across well-known financial services businesses such as Integrity Life, Centric Wealth and Perpetual Limited. Lisa is an experienced commercial and insurance litigator, previously acting for banks, companies and insurers whilst in private practice.

Nupur is an accomplished Chief People Officer and Commercial Leader with extensive experience leading transformation and growth. She has held executive roles including Global Interim Chief People Officer at WiseTech Global and Chief People Officer and CEO/VP ANZ at ResMed. Nupur also serves on the board of a not-for-profit women’s domestic violence shelter and brings strategic insight into people, culture and organisational performance.

John has over 25 years’ experience in financial services both overseas and in Australia. John was previously Chief Investment Officer at Resolution Life Australasia and Avant Mutual Group. John spent more than 12 years working for ING Investment Management and later ANZ Wealth managing diversified portfolios across Australia, New Zealand and Asia. John also spent time at Bank of Ireland Asset Management in Dublin as a portfolio manager.

Who is the Acenda Group?

The Acenda Group has been established in Australia and New Zealand following Nippon Life’s global acquisition of Resolution Life Group.

The Acenda Group brings together the strong heritage of protection for our customers, and the expertise of long-standing life insurance companies. The Group comprises the former MLC Life Insurance business (now rebranded to Acenda), Resolution Life Australasia and Asteron Life in New Zealand. The combined Group is now one of the largest life insurance businesses in Australia and New Zealand, backed by the global strength of Nippon Life.

What is the reason for the transaction?

The transaction follows Nippon Life’s successful global acquisition of Resolution Life. The transaction strengthens our ability to deliver innovation, reliability and value through increased scale, improved capabilities, and the global backing of Nippon Life. It positions the Acenda Group to better support our customers and partners into the future.

Is the Acenda Group open to new business?

Yes. The Acenda Group, through its Acenda, Resolution Life, and Asteron brands, is open to new business and is focused on growth, innovation and providing quality service and leading solutions for customers, advisers and partners. We’re excited to grow our offering, leveraging the combined capabilities of the new Acenda Group to deliver innovative protection and retirement solutions to more customers and members.

What does this mean for existing customers, advisers and partners?

There is no change for existing Acenda, Resolution Life Australasia and Asteron Life customers, advisers, and partners as a result of transaction completion.

Integration of the businesses will occur over time and will be managed to ensure a seamless experience for customers, advisers, and partners.

In the meantime, the Acenda Group will continue to serve policyholders in Australia under the Acenda and Resolution Life Australasia brands, and policyholders in New Zealand under the Asteron Life NZ and Resolution Life brands.

Will this impact customer policies or their ability to claim?

No. There is no change to your clients’ policies, their ability to claim, or the services we provide. You and your clients will continue to receive the same level of support you know and trust.

Any future changes such as the merger of policies and statutory funds will be subject to regulatory approval.

Will there be any service changes as a result of the transaction?

No. Integration of the businesses will occur over time and will be managed to ensure a seamless experience for customers, advisers, and partners.

Our team remains dedicated to supporting our customers and partners over the period.

Will there be changes to current products?

The Acenda Group launches with a strong focus on helping customers plan for and secure their financial future.

We’ve recently launched our enhanced TPD Severity product which provides customers with more flexibility and choice and is designed to meet the needs of today’s customers.

We’re excited to also launch our new retirement offering soon, bringing new innovative retirement income solutions to older Australians.

What happens to claims in progress or making a new claim?

There is no change to existing policies or your ability to make a claim. Any insurance claim in progress, remains unchanged. Any new insurance claim can continue to be made the same as always. Your policy terms have not changed because of the completion of the transaction and you have the same rights to claim under the same policy terms. Your claim will not be altered, re-evaluated, slowed down, or interrupted.

Will this affect rehabilitation or return to health plans?

There is no change to our claims process, wellness, rehabilitation and return to health programs.
